2. What the service is and who contracts with whom
BrandsOnMe offers advertising spots on clothing a creator agrees to wear at an identified event, together with the campaign's specified delivery commitments. A sponsor buys the advertising service from Connektik. Connektik is responsible for its sponsor-facing contractual obligations.
A creator supplies the agreed campaign service to Connektik under the creator-specific conditions and accepted campaign. The creator is not authorised to contract or make promises on Connektik's behalf. The parties intend an independent service relationship; mandatory employment, social-security, or other classification rules are not displaced by that description.
We do not sell or deliver the clothing. Creators arrange and pay for clothing and printing, and for attendance and other performance costs unless separately agreed in writing. Buying a sponsorship does not transfer ownership of a garment or buy event admission.
3. Eligibility and your account
Accounts are for adults with capacity to enter the relevant agreement. Creators must be at least 18 and complete the identity, tax, agreement, and payout checks required before accepting sponsorship. Sponsors must purchase for a business or organizational purpose and meet the relevant business and payment checks.
If you act for an organization, you confirm that you have authority for your actions. Provide accurate information and keep it current. Protect your password, assign appropriate permissions to colleagues, and report suspected misuse promptly. You remain responsible for your own authorised actions; these terms do not impose automatic liability for all unauthorised account activity regardless of circumstances.
Availability is assessed by country and transaction. Do not circumvent territorial, sanctions, event, provider, or eligibility restrictions. Acceptance in one country or campaign does not guarantee acceptance in another.
4. Agreement documents and electronic records
The agreement for a purchase includes these Terms, the accepted Sponsor Terms, the campaign and artwork details recorded at checkout, the displayed payment total, and the applicable Refund policy. A creator's agreement includes these Terms, the accepted Creator Terms, and the accepted campaign commitments. The Privacy notice explains data processing and is not a blanket consent term.
Mandatory law takes priority. Specific agreed campaign and checkout details take priority over general descriptions of the service. A later policy update does not retroactively change a paid placement or an accrued right.
You can review and correct available details before confirming a purchase. A checkout reservation is temporary and does not itself charge you or confirm the advertising contract. A purchase is confirmed when payment is successfully confirmed and allocated to the placement and we provide confirmation. A payment received without a valid allocation is refunded.
We record accepted terms versions, campaign details, and payment records and provide transaction confirmation and billing records. Keep copies of your agreement and receipts. English is the working contract language unless another language is expressly agreed; mandatory language requirements remain applicable.
5. Sponsorship, takeovers, and closing
An available spot is purchased at its displayed price. Before the campaign's closing deadline, an occupied spot can be taken over for exactly twice its current price before VAT. Each successfully allocated takeover replaces the previous sponsor, who receives a full refund of its own payment, including VAT charged.
The sponsor holding the spot when sponsorship closes receives the agreed event placement, subject to approved changes, delivery, and the Refund policy. Until closing, a current sponsorship can be displaced; it is not an unconditional promise that your logo will appear at the event.
The campaign displays the event timezone and relevant deadlines. Follow those displayed times. We may pause transactions to investigate a conflict, suspected abuse, or a legal or technical issue. An unavailable or expired reservation cannot be treated as a confirmed purchase.
A sponsor must own or have permission to use submitted brands, artwork, claims, and landing pages. Artwork must satisfy the published format, quality, and content requirements for the selected spot. Approved artwork is not a legal clearance or permission from a third-party rights holder.
6. Creator preparation and delivery
A creator must accurately describe the event and service, confirm advertising permission, obtain required access and permissions, and perform the promised attendance and deliverables. Event attendance estimates must have a reasonable basis and must not be presented as guaranteed advertising impressions.
Use the final confirmed sponsor artwork and placement instructions after sponsorship closes. Provide clear clothing photographs, required event check-ins, and the agreed event evidence by the displayed deadlines. Do not change a paid campaign's material commitments without the applicable review and sponsor-response process.
Comply with local event, advertising-disclosure, image-rights, safety, tax, business, immigration, and work-authorisation requirements that apply to your activity. Do not put yourself or others at risk to produce evidence. You must tell us promptly if illness, loss of access, event cancellation, or another issue threatens delivery.
For newly published campaigns, a creator's payment is 85% of the final price before VAT for each delivered spot and the BrandsOnMe platform fee is 15%, with applicable creator VAT handled separately. Previously published campaigns keep their agreed rate. Displaced and refunded sponsor payments do not increase earnings. Payment follows verified delivery, the sponsor review window, approved billing documents, resolution of relevant holds, and payout eligibility.
Creators provide accurate billing and tax information. Under the separately accepted Creator self-billing agreement, Connektik issues the creator's invoice in their name and on their behalf; the creator downloads and expressly accepts each invoice in Your earnings. Once accepted, payment is sent automatically when the campaign payment conditions are met. We may make reports or lawful deductions where required by applicable law. Payment to a Stripe account is separate from a bank payout.
7. Campaign changes, cancellations, and delivery review
A material change to an already paid campaign requires review and an opportunity for affected current sponsors to respond. Under the current process, an affected sponsor who rejects the approved change or does not accept it by the stated response deadline receives a full refund of the affected sponsorship. Silence is not acceptance of a material change.
If a campaign is cancelled or the affected sponsorship cannot be delivered as agreed, the Refund policy applies. An event organiser's cancellation or a creator's inability to attend does not allow us to retain payment indefinitely for an undelivered placement.
After delivery is approved, the current review window is 48 hours, with the exact deadline shown in the account. Use it to identify missing or incorrect delivery and provide relevant evidence. Expiry can allow the operational payment process to continue; it does not waive mandatory rights or prevent a legally valid claim about a problem discovered later.
8. Sponsor refunds, bank disputes, and creator payments
A sponsor may request a refund on an eligible ground within the applicable deadline shown in their account. The delivery review window is currently 48 hours. A request alone does not create a right to a refund: delivery complaints are assessed against the agreed campaign and the Refund policy, and the creator may provide relevant evidence.
A sponsor or cardholder may also dispute a payment through their bank or payment provider, including for alleged unauthorised payment, fraud, or reasons other than campaign delivery. Those procedures have their own deadlines and may occur after the platform's 48-hour delivery review window. Expiry of that window does not guarantee that a payment cannot later be reversed.
While a relevant refund request or bank dispute is unresolved, creator payment may be held pending investigation and reconciliation. To the extent permitted by law, creator remuneration for the affected sponsorship depends on Connektik retaining the corresponding sponsor funds. If a refund is properly made under the accepted agreement and Refund policy, or a bank or payment provider finally reverses the sponsor's payment, the corresponding creator remuneration is not payable from Connektik's own funds, including where the bank dispute concerns a reason unrelated to the creator's delivery. This applies only to the remuneration attributable to the refunded or reversed amount, not to unrelated sponsorship earnings.
If a dispute is rejected or withdrawn and the corresponding funds are retained or recovered, the affected creator remuneration becomes eligible for payment once the outcome is reconciled and the other payment conditions are met. Opening a dispute is not, by itself, a permanent loss of the creator's earnings. Where payment has already been transferred to the creator, any recovery must have a lawful contractual basis and follow the applicable process; a refund or chargeback does not itself authorise an automatic debit from the creator's bank account.
Subject to the safeguards below and any separate written agreement, Connektik is not liable to a creator solely because a sponsor validly exercises a refund right or a bank or payment provider reverses a payment. On that ground alone, Connektik is not required to replace the affected creator earnings or reimburse clothing, printing, attendance, travel, or other preparation costs. Connektik does not guarantee sponsors' payments against refunds or chargebacks.
These provisions do not exclude liability for Connektik's own breach of its obligations, an incorrectly granted platform refund, fraud, intentional misconduct, gross negligence, or any liability or right that cannot lawfully be excluded. They do not remove Connektik's obligations to sponsors under the Refund policy, or change a bank's or payment provider's rights against Connektik. A creator may challenge the handling of a refund or payment hold through Contact / Help and provide supporting evidence. These provisions do not retroactively change an existing paid campaign's accepted terms.
9. Rights in artwork, profiles, and evidence
You keep rights you own in your content. You grant Connektik a non-exclusive licence, for the countries and period needed to provide the agreed service, to host, display, reproduce, format, and transmit your submitted material for campaign presentation, authorised printing, delivery review, and necessary records. We may allow the relevant creator, printer, and service providers to use it only for those purposes.
We do not acquire general ownership of a sponsor's trademark or a creator's identity. A sponsorship does not authorise an unrelated endorsement or reuse in an independent advertising campaign. Any broader promotional reuse of a person's image or content requires an appropriate separate permission.
Obtain necessary rights and permissions for material you upload, including identifiable people and protected works. Removal or withdrawal can affect future display, but does not require deletion of lawful evidence or accounting records or undo copies necessarily made to perform an existing agreement.
10. Unacceptable use and restrictions
Follow Trust & safety and the applicable content rules. Do not use the service for unlawful or prohibited advertising, deception, infringement, harassment, account misuse, fabricated evidence, payment abuse, or manipulation of takeovers.
We may request corrections or impose proportionate restrictions where reasonably necessary to address a breach, risk, or legal obligation. Where permitted, we explain the reason and how to seek review. Urgent protection or legal requirements may require action before notice. A restriction does not automatically cancel a refund or earned payment to which you remain entitled.
You may request account closure through Contact / Help or the privacy request process. Existing campaign obligations, unresolved transactions, and lawful record-retention duties must still be addressed. Closure is not a way to avoid a valid outstanding obligation.
11. Responsibility and limitations
We undertake the service described in the agreement with the care required by applicable law. Campaign approval does not guarantee a commercial return, a particular number of people seeing the clothing, event admission, uninterrupted availability, or the accuracy of an organiser's forecast.
Each party is responsible for breaches and losses to the extent provided by applicable law. We do not exclude liability that cannot lawfully be excluded, including applicable liability for fraud, intentional misconduct, gross negligence, or death or personal injury. A refund entitlement is not reduced by a general disclaimer elsewhere in these Terms.
If circumstances beyond a party's reasonable control interfere with performance, that party must inform the other promptly and take reasonable steps to limit the impact. The delivery and refund rules still address an undelivered sponsor service. No clause creates an unrestricted right to retain payment for a service that will not be provided.
12. Complaints, applicable law, and international rights
Contact us first through Contact / Help if you want assistance resolving an issue; doing so is not a condition of exercising a mandatory legal right. Include the campaign or payment reference, the problem, and the outcome you seek.
Luxembourg law governs these Terms and the relevant agreements, subject to mandatory rules that apply despite a choice of law. For business disputes, the competent courts of the Grand Duchy of Luxembourg have jurisdiction to the extent that this agreement on jurisdiction is legally effective.
If you qualify as a consumer for a particular relationship, this choice does not deprive you of mandatory protection under the law of your habitual residence where applicable, or of courts and remedies available under mandatory jurisdiction rules. A business label in an account does not determine legal status.
International advertising, tax, employment, privacy, and other mandatory rules may apply alongside Luxembourg law. These Terms do not grant permission to offer every campaign in every jurisdiction. Additional country terms may be necessary and must be disclosed before the affected agreement.
Where a consumer dispute arises, information about the relevant competent alternative-dispute-resolution body will be provided as required. Luxembourg's National Consumer Ombudsman and the European Commission's current consumer redress resources can assist with eligible cases. We do not claim that every business dispute is eligible for consumer mediation.
13. Changes to these Terms
The version and publication date are shown with these Terms. We will give appropriate notice of significant changes and obtain a new agreement where required. Existing paid commitments remain governed by the accepted terms unless a lawful change process applies.
If a provision is unenforceable, the remaining provisions apply to the extent the agreement can lawfully continue. An unenforceable provision is not automatically replaced by the most favourable alternative for Connektik.
